Terms of Service for SafeTradeGH

Welcome to SafeTradeGH (the "App," "Site," or "Service"), an ecommerce platform operated by SafeTradeGH Ltd. ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the website at safetradegh.online (the "Site"), our mobile application, and all related services for buying, selling, and trading goods (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any applicable additional terms (e.g., for specific features). If you do not agree, please do not use the Services. These Terms form a legally binding agreement between you and SafeTradeGH Ltd.

We may update these Terms from time to time. We will notify you of material changes via email, in-app notice, or by posting the updated Terms on the Site. Continued use after changes constitutes acceptance.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms. Businesses using the Services must comply with all applicable laws.

We reserve the right to refuse or terminate access to anyone for any reason, including violations of these Terms.

2. User Accounts

Registration

To buy or sell on the platform, you must create an account ("Account") by providing accurate information, such as your name, email, phone number, and password. You agree to keep your Account information current and secure.

Security

You are responsible for maintaining the confidentiality of your login credentials and all activities under your Account. Notify us immediately at support@safetradegh.online of any unauthorized access. We are not liable for losses due to compromised credentials.

We may suspend or terminate Accounts for inactivity, suspected fraud, or violations.

3. Using the Services

Buying and Selling

• Listings: Sellers may post goods for sale with accurate descriptions, prices, images, and condition details. Listings must comply with these Terms and applicable laws (e.g., no prohibited items like weapons, drugs, or counterfeit goods).
• Purchases: Buyers agree to pay the listed price plus any applicable taxes, shipping, or fees. All sales are final unless otherwise stated; see Section 5 for refunds.
• Delivery: Sellers are responsible for timely shipping; buyers for providing accurate delivery details. We facilitate but do not guarantee delivery.

You grant us a non-exclusive, royalty-free license to use your listings, images, and content for operating and promoting the Services.

User Content

You retain ownership of content you submit (e.g., reviews, photos). By posting, you grant us a worldwide, perpetual, irrevocable license to use, modify, and distribute it for Service purposes. Content must not violate laws or third-party rights.

We may remove any content at our discretion.

4. Fees and Payments

• Transaction Fees: We charge fees on sales (e.g., 5-10% commission; details in your seller dashboard). Fees are deducted before payout.
• Payment Processing: Payments are handled by third-party providers (e.g., Stripe, mobile money like MTN MoMo). You agree to their terms.
• Taxes: You are responsible for any applicable taxes. We may collect and remit taxes as required by law.
• Payouts: Sellers receive payouts after order confirmation, minus fees (typically within 3-5 business days).

All fees are non-refundable except as required by law.

5. Refunds and Cancellations

• Buyer Refunds: Limited refunds for defective, damaged, or non-delivered items (within 7 days of receipt). Process claims via our support system.
• Seller Cancellations: Sellers may cancel before shipment; repeated cancellations may result in Account suspension.
• Dispute Resolution: We encourage parties to resolve issues directly. For unresolved disputes, use our mediation service or escalate to the Ghana Consumer Protection Agency.

Refunds are issued to the original payment method.

6. Prohibited Activities

You agree not to:

• Use the Services for illegal purposes or to violate laws (e.g., fraud, money laundering).
• Post false, misleading, or infringing content.
• Harass, spam, or interfere with other users.
• Attempt to hack, reverse-engineer, or disrupt the Services.
• Use automated tools (e.g., bots) without permission.
• Sell prohibited items (full list in our Prohibited Items Policy – to be created if not existing).

Violations may result in immediate Account termination, content removal, and legal action.

7. Intellectual Property

The Services, including software, design, trademarks (e.g., "SafeTradeGH"), and content, are owned by us or our licensors. You may not copy, modify, or distribute them without permission.

We respect intellectual property rights and expect the same from users. Report infringements to legal@safetradegh.online.

8. Termination

You may stop using the Services at any time. We may suspend or terminate your Account for violations, with or without notice. Upon termination, your right to use the Services ends, but obligations (e.g., payment) survive.

9. Disclaimers and Limitation of Liability

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement. We do not guarantee error-free operation, uninterrupted access, or that content is accurate or secure.

User-generated content is not endorsed by us; use at your own risk.

Limitation of Liability

To the fullest extent permitted by law, SafeTradeGH Ltd., its affiliates, and providers shall not be liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits, data loss) arising from the Services, even if advised of the possibility.

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Some jurisdictions do not allow these limitations; they may not apply to you.

10. Indemnification

You agree to indemnify and hold us harmless from claims, losses, or damages arising from your use of the Services, violations of these Terms, or infringement of third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Accra, Ghana.

12. Miscellaneous

• Entire Agreement: These Terms constitute the full agreement between us.
• Severability: If any provision is invalid, the rest remain enforceable.
• No Waiver: Our failure to enforce a right does not waive it.
• Force Majeure: We are not liable for delays due to events beyond our control (e.g., natural disasters, strikes).
• Assignment: We may assign these Terms; you may not without our consent.
